1. Acceptance of these Terms
1.1. These Terms of Use (“Terms”) govern your access to and use of the Draavi website at www.draavi.com (“the Website”), the Draavi mobile application (“the App”) and the advisory and platform services offered through them (together, “the Services”). The Website, the App and the Services are owned and operated by Cap91 Platform Private Limited, a company incorporated in India with its registered office at Unit No 500, 5th Floor, ITL Twin Tower, Plot B-9, NSP Pitampura, New Delhi (“the Company”, “we”, “us” or “Draavi”).
1.2. By accessing or using the Website, the App or the Services, you agree to be bound by these Terms and by the Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Website, the App or the Services.
1.3. These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it. They do not require a physical or digital signature.
2. Definitions
2.1. “You”, “Your”, “User” and “Subscriber” mean any person who accesses or uses the Website, the App or the Services, whether or not registered, and have the same meaning as in the Privacy Policy.
2.2. “Founder” or “Business” means a User who uses the Services to prepare for or run a capital raise or a sale of a business. “Investor” means a User who uses the Services to discover, evaluate or invest in businesses.
2.3. “Content” means all text, documents, data, figures, templates, articles, insights, images and other material made available through the Website, the App or the Services, whether provided by the Company, by a User or by a third party.
2.4. “Platform” means the online features of the Website and the App through which Founders and Investors can register, discover one another, share documents and track conversations.
3. Eligibility
3.1. You may use the Services only if you are at least 18 years of age and are competent to enter into a binding contract under the Indian Contract Act, 1872.
3.2. If you use the Services on behalf of a company, firm or other entity, you represent that you are authorised to bind that entity to these Terms, and “you” includes that entity.
3.3. Investors are responsible for ensuring that they are permitted, under the laws that apply to them, to receive information about and to invest in private Indian companies.
4. What Draavi does, and does not do
4.1. Draavi advises Indian start-ups and small businesses on raising capital and on sell-side M&A, and operates a Platform on which Founders can prepare a raise and Investors can source opportunities. Advisory engagements are governed by a separate written agreement between the Company and the client; where that agreement and these Terms conflict, the agreement prevails for that engagement.
4.2. The Company is not a stock exchange, a registered investment adviser, a research analyst, a portfolio manager, a merchant banker or a broker, and nothing on the Website, the App or the Services is an offer, solicitation or recommendation to buy, sell or subscribe to any security, or investment, legal, tax or accounting advice. Any decision to invest, to accept an investment or to sell a business is yours alone.
4.3. Business, financial and other information about a company on the Platform is provided by that company. The Company does not verify it and does not warrant that it is accurate, complete or current. Investors must carry out their own due diligence before relying on it.
4.4. The Company does not guarantee that a Founder will raise capital, that an Investor will find an opportunity, or that any introduction will lead to a transaction, or to a transaction on any particular terms.
4.5. The Company does not hold, pool or transfer money between Users and does not solicit deposits from the public. All investment is made directly between the parties to it, under their own documents.
5. Registration and accounts
5.1. Some features of the Platform require registration. You agree to provide true, accurate and complete information when you register and to keep it current.
5.2. You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us at once at [email protected] if you believe your account has been accessed without authority.
5.3. Public sign-up to the Platform may be paused from time to time. While it is paused, the Company provides the Services directly, by email and in person, and these Terms apply to that use in the same way.
5.4. The Company may refuse registration, or close an account, where it reasonably believes that the information provided is false, that the account is being misused or that the User is not eligible under Section 3.
6. Subscription plans and fees
6.1. Much of the Company’s educational content and many of its templates are available free of charge. Certain features of the Platform, including document storage and sharing and the management of one-to-one investor conversations, are available under paid subscription plans.
6.2. Fees, billing periods and what each plan includes are set out on the Platform at the time of subscription. Fees are stated exclusive of applicable taxes unless stated otherwise, and are payable in advance.
6.3. Fees for advisory engagements are agreed in writing with the client and are not covered by subscription plans.
6.4. Except where the law requires otherwise, subscription fees are not refundable once a billing period has begun. The Company may change its fees with notice; a change takes effect from your next billing period.
7. Information and documents you share
7.1. You keep ownership of the documents, data and other Content you upload to or share through the Platform (“Your Content”).
7.2. You grant the Company a non-exclusive, royalty-free licence to host, store, copy, display and transmit Your Content solely to provide the Services to you and to the Users you choose to share it with, and as otherwise described in the Privacy Policy.
7.3. You are responsible for Your Content. You represent that you have the right to share it, that it does not infringe anyone’s rights or breach any confidentiality obligation, and that it is not misleading in any material respect.
7.4. Where the Platform lets you choose which Users can see Your Content, for example through a data room, only the Users you have granted access to can see it. The Company does not share Your Content with third parties except as set out in the Privacy Policy.
7.5. The Company may remove Content that it reasonably believes breaches these Terms or the law.
8. Our content and intellectual property
8.1. The Website, the App, the Platform and all Content provided by the Company, including the Draavi name and logo, articles, insights, research, templates and software, are owned by or licensed to the Company and are protected by copyright, trade mark and other laws.
8.2. The Company grants you a limited, non-exclusive, non-transferable licence to use its Content for your own business purposes in connection with the Services. You may download and adapt templates that the Platform marks as downloadable for your own use. You may not sell, sub-license, republish or distribute the Company’s Content, or use it to build a competing service.
8.3. Templates and model documents are provided for general information. They are prepared with care but are not legal advice and do not create a lawyer-client relationship. Take your own legal advice before using any of them.
9. Acceptable use
9.1. You agree not to:
- use the Services for any unlawful purpose, or in breach of any applicable law, including securities, anti-money-laundering and foreign exchange laws;
- post or share Content that is false, misleading, defamatory, infringing, obscene or otherwise objectionable, or that you do not have the right to share;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- use information obtained through the Platform to contact, solicit or deal with a User outside the Platform in a way that circumvents the Services or any agreement with the Company;
- scrape, copy, mine or harvest Content or User information, or use automated means to access the Services, without our written permission;
- interfere with the security or operation of the Website, the App or the Platform, or attempt to gain unauthorised access to any account, system or data; or
- reverse engineer, decompile or otherwise attempt to derive the source code of the App or the Platform.
10. Confidentiality between founders and investors
10.1. Information that a Founder shares with an Investor through the Platform, and information that an Investor shares with a Founder, is confidential to the parties to that conversation. Each User agrees to use such information only to evaluate or pursue the opportunity it relates to, and not to disclose it to anyone else without the sharing party’s consent, except to its own professional advisers under a duty of confidence or where the law requires.
10.2. This Section does not replace any non-disclosure agreement between Users. Where such an agreement exists, it governs as between those Users.
10.3. The Company may use aggregated and anonymised information derived from use of the Platform for research and to improve the Services, provided no User or company is identifiable from it.
11. Third-party links and services
11.1. The Website and the App may contain links to third-party websites, articles and services. They are provided for convenience. The Company does not control and is not responsible for their content, accuracy or availability, and a link does not imply endorsement.
12. Disclaimers
12.1. The Website, the App, the Platform and the Content are provided “as is” and “as available”. To the fullest extent permitted by law, the Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
12.2. The Company does not warrant that the Services will be uninterrupted, timely, secure or error-free, or that any defect will be corrected. Access may be suspended for maintenance or for reasons outside the Company’s control.
12.3. Market figures, deal counts and other statistics published on the Website are drawn from the sources named alongside them or from the Company’s own records as at the date stated, and may change.
13. Limitation of liability
13.1. To the fullest extent permitted by law, the Company, its directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, business, opportunity, goodwill or data, arising out of or in connection with your use of, or inability to use, the Website, the App, the Services or the Content, or any investment or transaction decision made in reliance on them.
13.2. To the fullest extent permitted by law, the Company’s total liability to you for all claims arising out of or in connection with these Terms or the Services, in any twelve-month period, will not exceed the subscription fees you paid to the Company in that period, or INR 10,000 if you paid none. Liability under an advisory agreement is governed by that agreement.
13.3. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud.
14. Indemnity
14.1. You agree to indemnify and hold harmless the Company and its directors, employees and agents from any claim, loss, liability, cost or expense, including reasonable legal fees, arising out of Your Content, your use of the Services, your breach of these Terms or your breach of any law or the rights of any third party.
15. Suspension and termination
15.1. You may stop using the Services and close your account at any time by writing to [email protected].
15.2. The Company may suspend or terminate your access to all or part of the Services, with or without notice, if you breach these Terms, if the law requires it, or if the Company withdraws or materially changes the Services.
15.3. On termination your right to use the Services ends. Sections 7.2 (for Content already shared), 8, 10, 12, 13, 14, 18 and 19 survive termination. Retention of your information after termination is described in the Privacy Policy.
16. Privacy
16.1. How the Company collects, uses, stores and protects your information is set out in the Privacy Policy, which forms part of these Terms.
17. Changes to these Terms
17.1. The Company may amend these Terms from time to time. The current version will always be published on this page with its effective date. Material changes will be notified through the Website, the App or the email address on your account. Your continued use of the Services after a change takes effect is acceptance of the amended Terms.
18. Governing law and jurisdiction
18.1. These Terms are governed by the laws of India. Subject to Section 19, the courts at New Delhi have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.
19. Grievance redressal

The Company will acknowledge the complaint and work to resolve it within the time required by applicable law, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
